User Eligibility

You represent and warrant that you are the person legally responsible for all use of this account. You agree to provide verifymysignature™ and its affiliates with your full legal name, postal address and telephone number for our records. Verifymysignature's™ services require additional information to confirm your identity, such as, but not limited to: legal name, date of birth, current address, and picture identification. You agree to submit this information as needed and you represent that any information you submit is truthful and accurate. You agree to keep this information current. You also agree that you are an authorized user of any credit card, debit card, check or paypal account that you may supply to us as part of your use of this account. You understand and agree that information about you and your transaction(s) may be shared with other companies for the purpose of processing your transaction(s). You understand that these companies may communicate with you directly regarding your transaction(s). You understand that in conjunction with any transaction you enter into with verifymysignature™, that we will create an account for you should you wish to do business again with us in the future. However, we do not store any credit card information, so for future purposes we will require payment information again. 

Verify My Signature™ (“VMS”) is owned by VMS Medallion, LLC, a Delaware limited liability company. Verify My Signature™ currently refers its customers for medallion guarantee stamp services exclusively to Carl S. Karmin, PA ("Provider"). Mr. Karmin has been a member of the Florida bar since January 19, 1984 and is a provider of medallion guarantee stamp services as a member of the Securities Transfer Agents Medallion Program (known as “STAMP”). Verify My Signature™ and its affiliates, employees, officers, etc., including Carl Karmin, PA do not provide any legal or investment advice. Verify My Signature™ will not accept any fees for legal or investment advice, nor will it provide any legal or investment advice whatsoever. You understand that the Carl S. Karmin, PA does not and will not provide any legal or investment advice to you. All signature guarantees provided will be completed in strict accordance with industry procedures, processes and guidelines. Your payment goes to the provider of the signature guarantee services. You grant Verfiy My Signature™ permission to share information with the Provider of the medallion signature guarantee for purposes of providing a signature guarantee of your signature and for managing your account. ALL MEDALLION GUARANTEES ARE PROVIDED BY CARL S. KARMIN, PA AND SUBJECT TO HIS SOLE APPROVAL. MR. KARMIN IS THE SOLE AUTHORIZED PERSON TO APPROVE MEDALLION GUARANTEES AND MAY APPROVE OR NOT APPROVE MEDALLION GUARANTEES IN HIS SOLE DISCRETION.

You agree to indemnify and hold Verify My Signature™ and its parent company, its owners, subsidiaries, affiliates, officers, directors, attorneys, agents, service providers, and employees, harmless against any claim or demand and all liabilities, costs and expenses (including reasonable attorneys' fees) incurred by verifymysignature™ and (if applicable) any parents, subsidiaries, affiliates, officers, directors, agents, attorneys , service providers, and employees that arise out of any claim asserted by a third party that involves, relates to or concerns any of your actions or omissions on this Site, including but not limited to your breach of this Agreement, or your violation of any law or the rights of a third party. Verify My Signature™ offers its customers refunds if the medallion signature guarantee provided by Carl S. Karmin, PA or other referred provider is not accepted by a financial institution due to ineligibility under the STAMP program for providers failure to maintain appropriate bond coverage or for other technical default reasons. Refunds are not provided if customers mistakenly send copies rather than originals, or if a medallion signature guarantee stamp's ink is not readable by the financial institution due to poor quality documentation provided by customer. Verify My Signature™ will provide "re-stamping" of documents if necessary due to poor quality documents. You understand that the process of refunds may take up to seventy-five (75) days.

As a condition of your use of services provided by verifymysignature™ you warrant that you will not use the Service for any unlawful purpose.

Verifymysignature™ maintains a zero tolerance stance against sending of unsolicited email or text messages, commonly known as spam. Any user who sends out spam will have their account terminated without notice, and will be billed at a rate of $100.00 for each recipient to whom the message was sent, regardless of whether the messages were sent from ours or our affiliate’s servers, or from other servers. advertising our short code. All commercial text messages must comply with all applicable federal, state or local laws. Verifymysignature reserves the right to require changes or disable as necessary any website, account, database, or other component that does not comply with this policy, at its sole discretion. Verifymysignature™ also reserves the right to make any such modifications in an emergency at our sole discretion. Verifymysignature™ will not be liable for any damages incurred related to spam. In the event of litigation, it is the responsibility of each party to bear its own attorneys’ fees and costs throughout the entire process of any proceeding. Verifymysignature is not responsible for delivery timeframes when you purchase shipping from third-party providers. Beginning January 1, 2022, Verifymysignature will only deliver to your verified address and only provide you the option of receiving deliveries by the Federal Express shipping service at the time of purchase. If the address you provide is not serviced by Federal Express, then we will choose an alternate carrier, such as the United States Postal Service to deliver your package. We will select what we believe is the most comparable alternative service for your delivery. We are not responsible for any cost differentials between services that may occur. Indications of delivery times are estimates and may vary based on where you live. In other words, overnight shipping may not be available to your geographical location. If that happens, we arrange for shipping through the same carrier for the fastest service offered for delivery to you. Verifymysignature is not responsible for late deliveries or failed deliveries. However, it is verifymysignature's policy to work with customers to locate any missing or late shipments and to help secure refunds of shipping payments when appropriate. Orders received after 2 pm EST are processed for outgoing mail the following day.

You represent to us that any information you give us is accurate and not false. By using our site, you agree that you will not use any “robots” or other “automatic” means of creating false accounts. You also represent that you will NOT use any mechanism to “scrape” or “steal” any information from our site or about our other users or Members. You also represent that you will NOT use any mechanisms to communicate with other users of our site. Illegal use of our site in any form is punishable by a $100 per incident fine, or the maximum penalty allowable by law, whichever is greater. You understand that we will keep certain documents in electronic format within our systems, so that we may reference your account in the future. We do not keep physical documents sent to us. Other than actual documents for stamping, all documents are shredded once your file is completed.

Verifymysignature™ and its affiliates provide services to you in their sole discretion. If verifymysignature™ and affiliates decide not to provide you with their services, in their sole discretion, then you will receive a refund of fees paid. Services provided by verifymysignature™ and its affiliates require the confirmation of your identity. You understand and agree that verifymysignature™ does not directly provide medallion guarantees of signatures. Any medallion guarantees will be provided in strict accordance with industry procedures, processes and guidelines. Your payments go directly to the provider of the medallion guarantee services with reference made to "verifymysignature." Verifymysignature may impose additional charges for transactions involving non-US citizens, or transactions that are originated by customers outside of the United States.

verifymysignature™ may, in its sole discretion, suspend or terminate any Member's account under this Service. verifymysignature™ posts its regular pricing at: https://www.verifymysignature.com/shop. We may change our pricing at any time. We may impose additional fees in our sole discretion based on the transfer of certain types of securities, including limited liquidity OTC securities and other thinly traded securities. In addition, if we affix a medallion stamp and the customer does not purchase the medallion stamp within 24 hours, then (1) any price changes that have occurred during the 72 hour period will apply, and (2) we may charge an additional $75 per medallion stamp review fee after 72 hours.

verifymysignature™ may amend these Terms of Use by simply posting amended terms to its website. Terms of Use will be considered amended and in force from time of posting going forward. Verifymysignature™ is not obligated to post any additional notices of amendments to these Terms of Use.

Our policy is to respect the privacy of our users. All personal information collected on this site is kept strictly confidential and is not publicly disclosed. Your personal information is used for the purpose of fulfilling your order (if you make a purchase). Verifymysignature™ considers its email list(s), membership database(s) and other information it gathers through the ordinary course of business to be among its primary assets. Accordingly, if verifymysignature™ or any of its affiliates enter into a transaction or transactions whereby the assets or stock of verifymysignature™ or any of its affiliates is being purchased by a third party, you understand that information we have collected about you in conjunction with your use of our products and services may be sold to the acquiring party, as long as the acquiring party uses the same standard of care with respect to its privacy policy governing your information. You may always unsubscribe from any verifymysignature™ email lists or membership databases by contacting us at: info@verifymysignature.com.

ALL INFORMATION ON THIS SITE IS PROVIDED “AS IS” WITH ALL FAULTS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. Verifymysignature™ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. Without limiting the foregoing, verifymysignature™ is not responsible or liable for any malicious code, delays, inaccuracies, errors, or omissions arising out of your use of the Site or Service. You understand, acknowledge and agree that you are assuming the entire risk as to the quality, accuracy, performance, timeliness, adequacy, completeness, correctness, authenticity, security and validity of any and all features and functions of the Service.

IN NO EVENT SHALL VERIFYMYSIGNATURE'S AGGREGATE LIABILITY UNDER THIS AGREEMENT EXCEED ONE HUNDRED ($100) DOLLARS, OR THE AMOUNT ACTUALLY PAID BY YOU THAT MAY HAVE GIVEN RISE TO SUCH CLAIM, WHICHEVER IS GREATER. YOU UNDERSTAND AND AGREE THAT, TO THE FULLEST EXTENT PERMISSIBLE BY LAW, VERIFYMYSIGNATURE™ AND ITS SUCCESSORS AND ASSIGNS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, LICENSORS AND SERVICE PROVIDERS, ADVERTISERS AND SUPPLIERS, SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE, OF ANY KIND, DIRECT OR INDIRECT, IN CONNECTION WITH OR ARISING FROM USE OF THE SITE OR THE SERVICE, OR FROM THIS AGREEMENT, INCLUDING, WITHOUT LIMITATION, COMPENSATORY, CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL OR PUNITIVE DAMAGES.



Some jurisdictions do not allow for the exclusion of certain warranties or certain limitations on damages and remedies, accordingly some of the exclusions and limitations described in these Terms of Use may not apply to you.

These Terms of Use and your use of the Service are governed by the laws of the State of Florida (notwithstanding the state’s conflict of laws provisions). You specifically agree and submit to the exclusive jurisdiction and venue of the State and Federal Courts situated in Broward County, Florida and agree you shall not object to such jurisdiction or venue on any grounds. IN ANY ACTION OR PROCEEDING COMMENCED TO ENFORCE ANY RIGHT OR OBLIGATION OF THE PARTIES UNDER THIS AGREEMENT, YOUR USE OF THE SERVICES OR WITH RESPECT TO THE SUBJECT MATTER HEREOF, YOU HEREBY WAIVE ANY RIGHT YOU MAY NOW HAVE OR HEREAFTER POSSESS TO A TRIAL BY JURY.
